IREN Closes $3 Billion Convertible Notes Deal for AI Cloud Expansion
IREN has closed a $3.0 billion convertible senior notes offering, giving the Nasdaq-listed AI cloud provider a large new pool of capital for infrastructure buildout and working capital.
What happened
The company said on May 14 that it issued $3.0 billion of 1.00% convertible senior notes due 2033 in a private Rule 144A sale. The final amount included a fully exercised $400 million option on top of a $2.6 billion base deal, well above IREN's original May 11 plan to raise $2 billion.
IREN said net proceeds came to about $2.96 billion. Roughly $201.3 million will fund capped call transactions meant to reduce shareholder dilution if the notes convert, with the rest reserved for general corporate purposes and working capital. The notes carry a 32.5% conversion premium, and the related capped call is set at an initial $110.30 per share.
Why it matters
The conservative takeaway is that public capital remains available for companies selling AI infrastructure, even when the financing comes through convertible debt rather than straight equity. IREN describes itself as a vertically integrated AI cloud provider that runs large-scale data centers and GPU clusters for training and inference.
That makes the size of this financing notable on its own. A company that built its profile in bitcoin mining is now raising multibillion-dollar capital around AI cloud capacity, a sign that investors are treating GPU, power, and data-center access as a major financing category rather than a side business.
